Terms of Service

1. Acceptance of Terms
By accessing or using AgentFleet (“the Service”), operated by AgentFleet (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms apply to all users of the Service, including users who deploy AI agents, interact with agents, or browse the website. These Terms constitute a legally binding agreement between you and AgentFleet.
2. Description of Service
AgentFleet is a platform that allows users to deploy and manage autonomous AI agents. The Service includes:
- A web-based dashboard for agent configuration and management
- Infrastructure for running AI agents in isolated containers
- Integration with messaging channels (e.g., Telegram, Slack, Discord, WhatsApp, Email, SMS)
- Browser automation capabilities for agents to interact with websites
- Agent evolution and self-improvement capabilities
- Inter-agent communication within workspaces
- Integration with third-party tools and APIs (advertising platforms, CRMs, databases, DNS providers, content management systems, and others)
- Billing and subscription management through Stripe
AgentFleet operates on a bring-your-own-key (BYOK) model. You must supply your own API keys for AI model providers (e.g., OpenAI, Anthropic). We do not provide AI inference and do not mark up inference costs. You are solely responsible for all costs incurred through your API keys.
3. Account Registration
To use the Service, you must create an account using a valid email address or Google sign-in. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
- Accept responsibility for all activity under your account, including all actions taken by agents you deploy
You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
4. Subscriptions and Billing
4.1 Plans and Pricing
AgentFleet offers multiple subscription tiers with different feature sets and agent limits. Current pricing is displayed on our website and may change with notice. Beta pricing is locked in for early adopters for the duration of their continuous subscription.
4.2 Payment
All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annual, depending on your selection). All prices are in US Dollars (USD).
4.3 Cancellation and Refunds
You may cancel your subscription at any time from the billing page in your dashboard. Upon cancellation, you will retain access to your paid plan until the end of your current billing period. After that, your account will revert to the Free tier. No refunds are provided for partial billing periods, unused agent slots, or remaining subscription time.
4.4 Free Tier
The Free tier includes one agent with limited features. Free tier agents may be subject to resource limitations and may be paused after extended periods of inactivity.
5. Autonomous Agent Behavior and Your Responsibility
YOU ARE THE OPERATOR OF ALL AI AGENTS YOU DEPLOY THROUGH THE SERVICE. YOU ARE SOLELY AND FULLY RESPONSIBLE FOR ALL ACTIONS, OUTPUTS, AND CONSEQUENCES OF YOUR AGENTS, WHETHER OR NOT THOSE ACTIONS WERE INTENDED, FORESEEN, OR AUTHORIZED BY YOU.
This includes, without limitation, responsibility for:
- All content agents generate, publish, send, or distribute across any channel or platform
- All messages agents send via Telegram, Slack, Discord, WhatsApp, Email, SMS, or any other communication channel
- All actions agents take on websites through browser automation, including form submissions, account interactions, purchases, content posting, and data entry
- All actions agents take on third-party platforms (social media, advertising platforms, CRMs, databases, DNS providers, cloud infrastructure, payment processors, and others)
- All data agents collect, process, store, transmit, or delete
- All files agents create, modify, or delete
- All code agents generate or execute
- All API calls agents make using your credentials
- All financial transactions, advertising expenditures, or monetary commitments agents initiate
- All inter-agent communications and actions resulting from agent-to-agent coordination
- Compliance with all applicable laws, regulations, and third-party terms of service
AgentFleet provides safety features such as evolution approval workflows, risk classification, daily auto-approval caps, rate limits, and tool permission gates. However, these features are provided as conveniences and do not constitute a guarantee of safety. You acknowledge that autonomous AI agents may produce unexpected, inaccurate, or harmful outputs, and you accept full responsibility for monitoring and controlling your agents.
5.1 Agent Self-Evolution
Agents may propose modifications to their own configuration, including changes to their system prompts, enabled tools, installed packages, and AI models. While some proposals require your manual approval, others may be auto-approved based on risk classification. You are responsible for configuring your auto-approval settings appropriately and for reviewing all evolution proposals. AgentFleet is not liable for any consequences of approved or auto-approved evolution proposals.
5.2 Inter-Agent Communication
Agents within the same workspace may communicate with and delegate tasks to each other. You are responsible for configuring communication policies, and you accept responsibility for all actions taken as a result of inter-agent coordination, including delegation chains.
5.3 Browser Automation
Agents with browser capabilities can navigate websites, interact with web applications, fill forms, and perform actions on websites using cloud browser infrastructure. You are solely responsible for ensuring that your agents' browser activities comply with the terms of service of any websites they access. AgentFleet does not control, monitor, or approve individual browser actions taken by your agents.
6. AI-Generated Content Disclaimer
AI agents deployed through the Service generate content using third-party large language models. You acknowledge and agree that:
- AI-generated content may be inaccurate, incomplete, misleading, biased, or harmful
- AI-generated content does not constitute professional advice of any kind (legal, financial, medical, or otherwise)
- AgentFleet does not review, endorse, approve, or take responsibility for any content generated by agents
- You must review AI-generated content before relying on it for any important decision or action
- AI-generated images, audio, or video created by agent tools may constitute synthetic media and you are responsible for proper disclosure and compliance with deepfake and synthetic media laws
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Deploy agents that engage in spam, unsolicited messaging, harassment, phishing, or deceptive practices
- Send bulk or automated messages in violation of anti-spam laws (CAN-SPAM, GDPR, CASL, or equivalent)
- Attempt to gain unauthorized access to other users' accounts, data, or systems
- Use agents to scrape, harvest, or collect personal data or other data in violation of privacy laws or third-party terms of service
- Deploy agents that generate, distribute, or facilitate access to illegal, harmful, defamatory, or abusive content
- Create deepfakes, non-consensual intimate imagery, or misleading synthetic media
- Use browser automation to bypass security measures, CAPTCHAs, authentication systems, or access controls on third-party websites
- Use agents to commit fraud, impersonation, identity theft, or financial crimes
- Deploy agents that manipulate advertising platforms, engage in click fraud, or create deceptive ad campaigns
- Use agents to modify DNS records, domain configurations, or email infrastructure for malicious purposes
- Use agents to access, modify, or delete data in databases, CRMs, or cloud infrastructure beyond your authorized scope
- Interfere with or disrupt the Service, its infrastructure, or other users' agents
- Circumvent usage limits, rate limits, subscription restrictions, or security measures
- Attempt container escape, privilege escalation, or unauthorized access to the underlying infrastructure
- Use agents to install malicious software, cryptocurrency miners, or unauthorized packages
- Resell, sublicense, or redistribute the Service without our written consent
- Use the Service for any purpose unrelated to legitimate AI agent deployment
We reserve the right to immediately suspend or terminate accounts that violate these terms, with or without prior notice. In cases of severe violations, we may destroy active agent deployments without warning to protect our infrastructure and other users.
8. API Keys, Credentials, and Third-Party Services
You are solely responsible for all API keys, tokens, credentials, and secrets you provide to the Service, including but not limited to:
- AI provider API keys (OpenAI, Anthropic, Google, etc.)
- Messaging platform tokens (Telegram, Slack, Discord, WhatsApp, etc.)
- Email credentials (IMAP/SMTP passwords)
- Advertising platform credentials (Google Ads, Meta Ads, LinkedIn Ads, TikTok Ads)
- CRM and database credentials (Salesforce, HubSpot, PostgreSQL, etc.)
- DNS provider credentials (Cloudflare, GoDaddy, Route 53, etc.)
- Cloud infrastructure credentials (AWS, Vercel, etc.)
- Payment processor credentials (Stripe)
- Any other third-party service credentials
AgentFleet encrypts your credentials at rest using AES-256-GCM encryption. However, you acknowledge that:
- You are solely responsible for all charges, fees, or costs incurred through your credentials by your agents
- AgentFleet cannot be held liable for unauthorized charges on your third-party accounts resulting from agent actions or misconfiguration
- You must comply with the terms of service of all third-party platforms your agents access
- Violations of third-party terms may result in suspension of your third-party accounts, for which AgentFleet bears no responsibility
- You should use credentials with the minimum permissions necessary for your agents' intended functions
9. Financial Transactions and Advertising
If you enable agents to manage advertising campaigns, process payments, or perform other financial operations:
- You are solely responsible for all advertising spend, budgets, and financial commitments made by your agents
- AgentFleet does not approve, review, or limit advertising budgets set by your agents
- You bear full responsibility for the content of any advertisements created or modified by your agents, including compliance with advertising regulations and platform policies
- AgentFleet is not liable for wasted ad spend, unauthorized purchases, or financial losses resulting from agent actions
- You are responsible for ensuring your agents do not engage in discriminatory targeting or deceptive advertising practices
10. Data Processing and Compliance
10.1 Your Data Obligations
If your agents process personal data of third parties (e.g., customer information, leads, contact lists), you are the data controller and are solely responsible for:
- Obtaining all necessary consents for data collection and processing
- Complying with applicable data protection laws (GDPR, CCPA, CASL, and others)
- Providing required privacy notices to data subjects
- Honoring data subject rights requests (access, deletion, portability)
- Ensuring agents do not collect or process data beyond what is lawfully permitted
- Implementing appropriate safeguards for cross-border data transfers
10.2 No Legal, Financial, or Professional Advice
AgentFleet and agents deployed through the Service do not provide legal, financial, medical, tax, or other professional advice. Any outputs generated by agents that resemble professional advice are informational only and should not be relied upon without consulting qualified professionals.
11. Intellectual Property
11.1 Our Property
The AgentFleet platform, including its code, design, documentation, agent templates, and branding, is owned by AgentFleet and protected by intellectual property laws. You may not copy, modify, decompile, reverse-engineer, or create derivative works of any part of the Service.
11.2 Your Content
You retain ownership of all content you create and configure through the Service, including agent configurations, system prompts, and workspace files. You grant us a limited, non-exclusive license to host, process, and display this content solely to provide the Service.
11.3 AI-Generated Output
Ownership of content generated by AI agents is subject to applicable law and the terms of the underlying AI model providers. AgentFleet makes no representations regarding your ownership rights over AI-generated content. You are responsible for ensuring your use of AI-generated content does not infringe third-party intellectual property rights.
12. Data and Privacy
Our collection and use of your data is governed by our Privacy Policy. By using the Service, you agree to our data practices as described in that policy.
13. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted, error-free, or secure access to the Service. You acknowledge that:
- The Service may experience downtime for maintenance, updates, or unforeseen issues
- Your agents may become unavailable during Service disruptions
- We may modify, update, or discontinue features of the Service at any time
- Third-party infrastructure providers (hosting, cloud browsers, etc.) may experience their own outages beyond our control
AgentFleet is not liable for any losses, damages, or missed opportunities resulting from Service downtime, agent unavailability, or infrastructure failures, regardless of cause.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
AGENTFLEET, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
- COST OF REPLACEMENT SERVICES
- DAMAGES ARISING FROM AGENT ACTIONS, OUTPUTS, ERRORS, OR MALFUNCTIONS
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR AGENTS
- DAMAGES RESULTING FROM THIRD-PARTY API CHARGES OR ADVERTISING SPEND INCURRED BY YOUR AGENTS
- DAMAGES ARISING FROM INTER-AGENT COMMUNICATIONS OR DELEGATION
- DAMAGES ARISING FROM AGENT SELF-EVOLUTION OR AUTO-APPROVED MODIFICATIONS
- DAMAGES ARISING FROM BROWSER AUTOMATION ACTIVITIES
- DAMAGES ARISING FROM SYNTHETIC MEDIA OR AI-GENERATED CONTENT CREATED BY YOUR AGENTS
- DAMAGES ARISING FROM EMAIL, MESSAGING, OR COMMUNICATION ACTIVITIES OF YOUR AGENTS
- DAMAGES RESULTING FROM ANY THIRD-PARTY CLAIMS AGAINST YOU DUE TO YOUR AGENTS' ACTIONS
IN NO EVENT SHALL AGENTFLEET'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID TO AGENTFLEET IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF AGENTFLEET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, AGENTFLEET DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
- ANY WARRANTY THAT AI AGENTS WILL PERFORM CORRECTLY, SAFELY, OR AS INTENDED
- ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF AI-GENERATED CONTENT
- ANY WARRANTY THAT AGENT ACTIONS WILL COMPLY WITH APPLICABLE LAWS OR THIRD-PARTY TERMS
- ANY WARRANTY REGARDING THE SECURITY OF YOUR CREDENTIALS, API KEYS, OR DATA
- ANY WARRANTY THAT SAFETY FEATURES (EVOLUTION APPROVAL, RATE LIMITS, RISK CLASSIFICATION) WILL PREVENT ALL HARMFUL AGENT ACTIONS
YOU USE THE SERVICE AND DEPLOY AI AGENTS ENTIRELY AT YOUR OWN RISK.
16. Indemnification
You agree to indemnify, defend, and hold harmless AgentFleet, its officers, directors, employees, contractors, affiliates, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:
- Your use of the Service
- Any actions, outputs, or behavior of AI agents you deploy
- Content generated, sent, published, or distributed by your agents
- Your agents' interactions with third-party platforms and services
- Data your agents collect, process, store, or transmit
- Financial transactions or advertising activities conducted by your agents
- Your violation of these Terms or any applicable law
- Your violation of any third party's rights, including intellectual property, privacy, or contractual rights
- Claims by third parties who interact with or are affected by your agents
- Your agents' use of browser automation on third-party websites
- Synthetic media or deepfake content created by your agents
This indemnification obligation survives termination of these Terms and your account.
17. Assumption of Risk
You expressly acknowledge and assume the following risks associated with deploying autonomous AI agents:
- Agents may take unexpected or unintended actions, including sending messages, making purchases, modifying data, or interacting with services in ways you did not anticipate
- Agents operating with browser automation may interact with websites in ways that violate those websites' terms of service
- Agents with access to advertising platforms may incur significant and irreversible financial expenditures
- Auto-approved evolution proposals may modify agent behavior in ways that produce undesirable outcomes
- Inter-agent communication may result in coordinated actions that amplify unintended behaviors
- Agents with email or messaging access may send communications that create legal liability
- Agents with database access may modify, corrupt, or delete data
- AI model providers may change their models, outputs, or terms at any time, affecting agent behavior
BY USING THE SERVICE, YOU ACCEPT ALL SUCH RISKS AND AGREE THAT AGENTFLEET IS NOT LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM THESE RISKS.
18. Termination
Either party may terminate these Terms at any time. You may terminate by deleting your account. We may immediately terminate or suspend your access if:
- You violate these Terms or our Acceptable Use policy
- Your agents pose a risk to our infrastructure, other users, or third parties
- We receive a valid legal complaint regarding your agents' activities
- We determine, in our sole discretion, that your use of the Service is harmful or abusive
Upon termination, your right to use the Service ceases immediately. We may destroy your active agent deployments and delete your data in accordance with our Privacy Policy. Sections 5, 6, 8, 9, 10, 11, 14, 15, 16, 17, 19, and 20 survive termination.
19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
19.2 Binding Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. The arbitrator's decision shall be final and binding.
19.3 Class Action Waiver
YOU AGREE THAT ALL CLAIMS AND DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, CONSOLIDATED, OR REPRESENTATIVE BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST AGENTFLEET.
19.4 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@agentfleet.cloud within 30 days of creating your account. If you opt out, disputes shall be resolved in the state or federal courts located in Wilmington, Delaware.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and AgentFleet regarding the Service and supersede all prior agreements.
20.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
20.3 No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
20.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
20.5 Force Majeure
AgentFleet shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
21. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Material changes will be effective 30 days after posting. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
